Terms of Service

These terms (the “Terms”) govern your access to and use of the Outbind pre-launch website and waitlist (together, the “Service”). Outbind is a product operated by Outbind AI LLC, a limited liability company formed in the State of Wyoming, United States (“Outbind”, “we”, “us” or “our”). By using the Service you agree to these Terms.

1. Acceptance of these terms

By accessing the Service, joining the waitlist, or otherwise submitting your details to us, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service. If you are using the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.

2. The service and its pre-launch status

Outbind is intended to be the client engine for freelancers and agencies, but at this stage it is a pre-launch product. Today the Service simply lets you register your interest by joining a waitlist. Joining the waitlist does not create any contract for the supply of a product, and it does not guarantee that you will be granted access to Outbind, that the product will launch at all, or that it will launch on any particular date. We make no commitment as to features, availability, pricing or timing, all of which may change or be withdrawn at any time before launch.

Because the Service is pre-launch, parts of it may be incomplete, may change without notice, and may be tested, paused or reset as we build. Any forward-looking statements about what Outbind will do are aims, not promises. When the product becomes generally available, we may introduce separate terms that govern your use of it, and those terms will apply to that use.

3. Eligibility and accounts

You must be at least 18 years old to use the Service. The Service is intended for business and professional users, and by using it you confirm that you meet this age requirement and are able to enter into a binding agreement with us. If you are using the Service on behalf of an organisation, you confirm that you are authorised to do so on its behalf.

The waitlist does not currently require you to create an account or password. If, in future, the Service offers accounts or other credentials, you will be responsible for keeping them confidential and for all activity that takes place under them, for providing accurate information, and for keeping it up to date. You agree to notify us promptly at legal@outbind.ai if you suspect any unauthorised use of your details.

4. Acceptable use

You agree to use the Service lawfully and in good faith. In particular, you must not:

  • Misuse, disrupt, overload, probe or attempt to gain unauthorised access to the Service or its underlying systems, networks or data.
  • Scrape, harvest, crawl or collect data from the Service by automated means, or attempt to circumvent any bot check or rate limit.
  • Submit details that are not your own or that are false, or impersonate any person or organisation.
  • Introduce malware, attempt to reverse engineer the Service, or use it to develop a competing product.
  • Use the Service for any unlawful, fraudulent, infringing or abusive purpose.

When Outbind launches, any use of the product to send communications must comply with all applicable anti-spam and data protection laws. You remain responsible for obtaining any consents required for your own outreach and for honouring opt-outs. Outbind aims to enforce suppression before any send, but that does not replace your own legal obligations as the sender.

5. Intellectual property

The Service and all of its content, including the Outbind name, logo, text, design and software, are owned by or licensed to Outbind AI LLC and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Service for the purpose of registering your interest. You must not copy, reproduce, modify, distribute or create derivative works from any part of the Service except as expressly permitted by us or by law. All rights not expressly granted to you are reserved.

If you send us feedback, ideas or suggestions about the Service, you agree that we may use them without restriction or obligation to you, while you keep any rights you already hold in the underlying ideas.

6. Third-party services

We rely on a small number of third-party providers to run the Service, such as our EU-hosted database, our email sender and our bot-check and analytics providers. Those providers are described in our Privacy Policy. Their own terms and policies may also apply to the parts of the Service they power, and we are not responsible for the content or practices of any third-party site or service we link to.

7. Privacy

Our Privacy Policy explains how we collect and use the limited personal data you provide when you join the waitlist, and the rights you have over that data. The Privacy Policy forms part of these Terms, and by agreeing to these Terms you confirm that you have read it.

8. Availability and changes

We may change, suspend or withdraw all or any part of the Service, and we may update these Terms, at any time. Where we make material changes to these Terms we will update the “last updated” date above and, where reasonably practicable, take appropriate steps to bring the changes to your attention. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree to a change, your remedy is to stop using the Service and ask us to remove you from the waitlist.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis, and is offered free of charge during pre-launch. To the fullest extent permitted by law, we exclude all implied warranties, terms and conditions, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that any results will be accurate or reliable, or that the product will launch with any particular features, on any particular date, or at all.

10. Limitation of liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Subject to that, and to the fullest extent permitted by law, we will not be liable for any indirect or consequential loss, or for any loss of profits, business, goodwill, data or anticipated savings, arising out of or in connection with your use of, or inability to use, the Service. Because the Service is provided free of charge during pre-launch, our total liability to you in connection with the Service is limited to the fullest extent the law allows.

11. Indemnity

To the fullest extent permitted by law, you agree to indemnify and hold harmless Outbind AI LLC and its officers, employees and agents from any claims, losses, liabilities and reasonable expenses that arise out of your misuse of the Service, your breach of these Terms, or your violation of any law or the rights of a third party. We aim to keep this in line with what is reasonable for a free, pre-launch waitlist.

12. Termination

You may stop using the Service at any time, and you can ask us to remove you from the waitlist whenever you like, as described in our Privacy Policy. We may suspend or end your access to the Service, in whole or in part, if we reasonably believe you have breached these Terms or to protect the Service, other users or our rights. Any provisions that by their nature should survive termination, such as the sections on intellectual property, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.

13. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You and we agree that the state and federal courts located in Wyoming will have exclusive jurisdiction to settle any such dispute or claim. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
